1. Who these terms are between
These terms are an agreement between Durity, Inc. ("Durity", "we") and the company you sign up for ("you"). They cover this website, the Durity app and the bookkeeping, tax and filing work we do for your company. If you sign up on behalf of a company, you confirm you are allowed to act for it.
When you create an account you are also asked to accept an engagement letter that describes the accounting and tax work in more detail. If the two ever disagree about that work, the engagement letter applies.
2. Your account
- Give us accurate details about yourself and your company, and keep them up to date.
- Keep your password to yourself. We recommend turning on two-step login. Tell us straight away if you think someone else has used your account.
- You decide who on your team can see or change your company's records, and you are responsible for what they do in the app.
3. What Durity does
Durity keeps your U.S. company's books, prepares its tax returns and compliance filings, and tracks its deadlines. Software does the routine work; accountants check each monthly close, and a second accountant reviews every return before it is filed. Nothing is filed until you have read and approved it.
What your price includes, and what is priced per form, is set out on the pricing page as it stands on the day you are charged.
4. What we need from you
- Complete and accurate information: transactions, documents, owners, contractors and anything else we ask for to do the work.
- Timely answers. If we ask a question or send a return for approval and do not hear back in time, a deadline may be missed.
- Your review. You read each return before approving it and tell us if anything looks wrong.
You remain responsible for your company's taxes, and for penalties and interest that arise from information that was late, missing or incorrect.
5. What Durity is not
Durity is not a law firm and does not give legal, investment or audit advice. Durity is not affiliated with the IRS or any state agency. The free tools and guides on this website give general information, not advice about your situation.
6. Free trial
A new company gets a 14-day free trial with no card needed. During the trial you can set up your company, bring in transactions and see your filing calendar. We do not file anything for you until your paid plan starts. If you do not start a plan, the trial ends and the app pauses; nothing is charged.
7. Price and billing
- One price by spending range. Your monthly price depends on your company's monthly expenses, read from your books. The ranges and prices are on the pricing page.
- Monthly or yearly. You can pay monthly, or yearly in advance at 10% off.
- Priced per form. Three things are charged separately when they are filed: Form 5471 for a foreign subsidiary ($900 each), each state return after the first ($200 each) and each 1099 form above the 10 included a year ($15 each).
- If your spending moves to another range. We email you the new price and the date it starts at least 30 days ahead. You can cancel before that date.
- Payment. Payments are taken by card through our payment provider at the start of each billing period. Prices do not include any sales or similar tax that applies; if one applies it is shown before you pay.
8. If a payment fails
We email you. You have 14 days to update your payment method. After that the app pauses and we stop work on your books and filings until the balance is paid. You can still sign in, export your data and update your card while paused.
9. Cancelling
You can cancel at any time from the Billing page; there is no minimum term. Your plan runs to the end of the period you have paid for and does not renew. We do not refund a period that has already been paid for, unless the law requires it or we agree otherwise in writing. Work we have not started when your plan ends is not carried out.
10. Your data
Your company's records are yours. You give us permission to store and use them to provide the service. You can export everything (data, spreadsheets and every document) at any time, and you can ask us to delete your account. How long some records must be kept after that is explained in the privacy policy.
11. AI assistance
AI assistance is off unless an owner turns it on for the company in Settings, and it can be turned off again there. When it is on, transaction descriptions and amounts, and the questions you ask about your books, are sent to our AI provider to suggest categories and write answers. A receipt is sent to the AI provider only when someone on your team presses "Read it for me" on that receipt, so that the vendor, date and amount can be filled in. A receipt can show a name or the last digits of a card. Suggestions are checked by an accountant before they count in a closed month or a return.
12. Fair use
Do not use Durity for anything unlawful, upload records you know to be false, try to reach another company's data, interfere with the service, or resell it without our written agreement. We may suspend an account that does any of these.
13. Other services you connect
If you connect another service to Durity, or upload its exports, that service's own terms cover what it does. We are not responsible for mistakes in the data it gives us.
14. Changes to the service
We improve Durity regularly and may add, change or retire features. If a change materially reduces what you have paid for, we will tell you in advance. Current service status is on the status page.
15. Our responsibility to you
We do the work with reasonable care and skill. Beyond that, and to the extent the law allows, the service is provided as it is, and we do not promise it will be uninterrupted or free of errors.
To the extent the law allows, neither of us is liable to the other for indirect or consequential loss, or for lost profit or lost data, and our total liability for any claim is limited to the fees you paid us in the 12 months before the event that led to it. Nothing in these terms limits liability that cannot be limited by law.
16. Ending the agreement
You can end it by cancelling. We can end it, or suspend your account, if fees stay unpaid after the 14 days above, if these terms are seriously broken, or if we can no longer lawfully provide the service; where we can, we give you notice and time to export your data first.
17. Changes to these terms
If we change these terms we publish the new version here and ask you to accept it in the app before you continue. If you do not accept, you can cancel and export your data.
18. Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.
